Phantom stock is a contractual compensation arrangement linked to a defined company value, without issuing actual ownership at grant. The agreement determines the benefit, conditions and payment events. Understand full value and appreciation
In a hypothetical example, 1% of a defined $8,000,000 value is $80,000. An appreciation-only calculation above a $5,000,000 baseline is 1% of the $3,000,000 increase, or $30,000. Both remain subject to vesting, payment terms and other adjustments.
Define the promise before granting it
The value basis, participation or units, vesting and sale/no-sale/departure treatment need clear terms. Estimated value, accounting obligation and cash payable are different questions. Appropriate legal, tax, payroll and financial review supports the actual arrangement.
